Binding Legal Agreement

4. Confidentiality

You agree to maintain the confidentiality of any proprietary information, methodologies, or processes shared by Procurement equipments during the course of service delivery. This obligation continues even after termination of services.

5. Timely Cooperation

You agree to provide timely access to necessary information, documents, and personnel required for Procurement equipments to deliver services effectively. Delays in providing requested materials may impact service delivery timelines.

Prohibited Activities

You expressly agree not to engage in any of the following prohibited activities:

  • Using our services for any unlawful purpose or to solicit unlawful activities
  • Attempting to circumvent any security measures or access controls
  • Reverse engineering, decompiling, or disassembling any aspect of our services
  • Transmitting viruses, malware, or any other malicious code
  • Interfering with or disrupting the integrity or performance of our services
  • Collecting or harvesting any information from our systems without authorization
  • Impersonating another person or entity or falsely stating your affiliation
  • Using our services to commit fraud or engage in deceptive practices

Limitation of Liability

General Limitations

To the maximum extent permitted by applicable law, Procurement equipments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

Cap on Liability

In no event shall Procurement equipments's total liability to you for all damages exceed the amount paid by you to Procurement equipments for services during the twelve months preceding the claim, or one hundred dollars if no payment has been made.

Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Disclaimers and Warranties

Service Provided "As Is"

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

No Professional Guarantee

Indemnification

You agree to indemnify, defend, and hold harmless Procurement equipments, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights, including intellectual property rights
  • Any harmful act toward any other user of our services

This indemnification obligation will survive termination of these Terms and Conditions and your use of our services.

Neither party shall be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond their reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather conditions
  • War, terrorism, civil unrest, or acts of government
  • Pandemics, epidemics, or public health emergencies
  • Power failures, internet outages, or telecommunications failures
  • Labor disputes or strikes

The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to minimize the impact of such circumstances.

Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, such provision will be modified to reflect the parties' intention as closely as possible, or if modification is not possible, it will be severed from these terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms and Conditions, and all other provisions shall remain in full force and effect.

Entire Agreement

These Terms and Conditions, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Procurement equipments regarding the use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.
